Agreement summary
These terms govern access to LeaderDaddy, a CRM and sales operations platform operated by ToolCross. They are written for business customers, workspace admins, and authorized users.

1. Acceptance and eligibility

  • By creating an account, signing up for a trial, using the website, or accessing the CRM, you agree to these terms and the Privacy Policy.
  • LeaderDaddy is for business use. You must have authority to bind the business or workspace you create or administer.
  • If you use LeaderDaddy for a company, agency, institution, or client, references to you include that organization where the context requires.

2. Accounts and workspace administration

  • Workspace admins are responsible for inviting users, assigning roles, managing access, maintaining accurate business details, and removing users who should no longer have access.
  • You are responsible for all activity under your credentials and must keep passwords, devices, and sessions secure.
  • LeaderDaddy may rely on admin actions, workspace settings, billing choices, data imports, and user permissions as authorized instructions from the customer.

3. Subscription, trial, billing, and taxes

  • Subscription pricing, trial duration, wallet usage, service charges, renewal terms, and billing cycles are displayed in the product, checkout, quote, invoice, or renewal flow applicable to your account.
  • Payments may be processed through Razorpay or another payment provider. You authorize the payment provider and LeaderDaddy to process payment, recharge, renewal, and billing actions you initiate or approve.
  • Taxes, payment gateway charges, currency conversion, bank fees, and statutory deductions are your responsibility unless the applicable invoice or law states otherwise.
  • Refunds, cancellations, downgrades, and credits are handled according to the active plan, checkout terms, written agreement, and applicable law. Access may continue only for the paid or trial period that remains available.

4. Acceptable use

  • Do not use LeaderDaddy for unlawful, misleading, abusive, discriminatory, harassing, defamatory, infringing, fraudulent, spam, or unauthorized marketing activity.
  • Do not attempt to bypass security, access another workspace, scrape data, reverse engineer the service, overload systems, introduce malware, test vulnerabilities without permission, or interfere with service operations.
  • Do not upload data that you do not have the right to use, or send messages to people who have opted out or have not given required permission.

5. Customer data and compliance

  • You retain ownership of lead, customer, product, activity, team, report, and communication data that you or your users submit to the workspace.
  • You grant LeaderDaddy the limited right to host, process, transmit, back up, analyze, and display customer data as needed to provide and improve the service, secure the platform, and comply with law.
  • You are responsible for the accuracy, legality, consent, notices, retention choices, opt-outs, and business use of customer data entered into LeaderDaddy.

6. WhatsApp, notifications, broadcasts, and communications

  • If you enable WhatsApp, Facebook, Instagram, Threads, or other communication features, you must comply with Meta, telecom, anti-spam, template approval, opt-in, opt-out, and customer communication requirements that apply to your messages.
  • LeaderDaddy may queue, retry, bill, or log notifications, WhatsApp actions, broadcasts, OTPs, emails, and delivery metadata according to platform settings and provider responses.
  • Provider outages, template rejection, wallet balance, rate limits, number quality, user opt-outs, or policy enforcement may delay or block communication delivery.

7. AI-assisted features

  • AI outputs are suggestions generated from available context and may be incomplete, inaccurate, delayed, or unsuitable for a specific customer conversation.
  • You are responsible for reviewing AI suggestions, drafts, scores, and recommendations before using them in sales, support, legal, financial, or customer-facing decisions.
  • Do not submit sensitive, confidential, regulated, or third-party data into AI features unless you have authority and are comfortable with processing by the configured AI provider.

8. Third-party services

  • LeaderDaddy may integrate with payment gateways, WhatsApp, Facebook, Instagram, Threads, email, push notification, AI, mapping, hosting, analytics, and support providers. These services may have separate terms, limits, fees, and privacy practices.
  • LeaderDaddy is not responsible for third-party outages, policy changes, account suspension, data handling, pricing changes, or integration limits outside its reasonable control.
  • You authorize LeaderDaddy to exchange data with third-party services you enable or use through the platform.

9. Availability, support, and product changes

  • LeaderDaddy aims to provide reliable service, but access may be affected by maintenance, updates, provider outages, internet issues, security events, or force majeure events.
  • PWA and offline features may cache limited data on authorized devices and sync later. Offline sync is not a substitute for user review, conflict checks, or confirmed server acceptance.
  • We may add, modify, suspend, or remove features, plans, limits, pricing, providers, or workflows to improve the product, comply with law, or protect the platform.

10. Intellectual property and feedback

  • LeaderDaddy, ToolCross branding, software, UI, workflows, documentation, design, and platform technology are owned by ToolCross or its licensors.
  • You receive a limited, non-exclusive, non-transferable right to use LeaderDaddy for your internal business operations during an active trial or subscription.
  • Feedback, suggestions, or ideas you provide may be used by ToolCross without restriction or compensation, while your customer data remains yours.

11. Suspension and termination

  • LeaderDaddy may suspend or restrict access for non-payment, suspected abuse, security risk, legal requirement, provider policy issue, unauthorized use, or violation of these terms.
  • You may stop using the service or request cancellation according to the applicable plan or written agreement.
  • After termination, access to the workspace may be limited or removed. Data export or deletion requests remain subject to verification, legal retention, backup cycles, and unpaid amounts.

12. Disclaimers, liability, and indemnity

  • LeaderDaddy is provided on an as available basis to the extent permitted by law. We do not guarantee uninterrupted access, error-free operation, specific revenue results, conversion rates, lead quality, message delivery, or AI accuracy.
  • To the extent permitted by law, ToolCross is not liable for indirect, incidental, special, consequential, punitive, lost-profit, lost-revenue, lost-data, business interruption, or third-party damages.
  • You agree to defend and indemnify ToolCross from claims arising from your customer data, unlawful communications, misuse of the service, breach of these terms, or violation of third-party rights or law.

13. Governing law, disputes, and changes

  • These terms are governed by the laws of India, without regard to conflict-of-law principles.
  • Disputes will be handled by courts or forums having applicable jurisdiction in India, unless a separate written agreement states otherwise.
  • We may update these terms when product, legal, billing, provider, or security requirements change. Continued use after an update means you accept the revised terms.

14. Gmail marketplace lead integration

  • Gmail marketplace lead ingestion is optional. Only an organization administrator may connect a Gmail account, and the administrator confirms that they are authorized to grant LeaderDaddy read-only access to that mailbox for this feature.
  • The feature continuously checks newly added Inbox messages solely to identify supported OLX, CarWale, and Gaadi marketplace enquiries and create CRM leads from matching emails with a valid Indian mobile number. It is not an email client, backup, archive, export, or message-management service and cannot send, delete, label, archive, forward, or modify Gmail messages.
  • The customer authorizes its authorized workspace users to view and action the CRM leads created by the feature and remains responsible for its authority to process the mailbox and resulting lead data. The customer must not use the feature for spam, unlawful marketing, surveillance, or data it has no right to process.
  • A customer may disconnect Gmail at any time. Disconnecting removes the stored Gmail connection and import metadata, while CRM leads already created remain subject to the customer's workspace retention and deletion choices and the Privacy Policy.

15. Meta social integrations

  • Facebook, Instagram, Threads, and WhatsApp integrations are optional. Only an authorized workspace administrator may connect a Meta account, Page, professional account, Threads profile, or WhatsApp Business asset, and the administrator confirms they have authority to grant the selected Meta permissions.
  • LeaderDaddy uses Meta permissions only for the product features enabled by the customer, such as selecting connected assets, publishing supported content, managing supported posts or comments, receiving Messenger or Instagram inbox events, replying from the inbox, and processing Threads public replies where Meta permits it.
  • Customers remain responsible for the content they publish or send, the people they contact, lawful consent and opt-out handling, Page or account ownership, Meta Business and app-review requirements, and compliance with Meta Platform Terms, messaging policies, community standards, and applicable law.
  • Meta may reject permissions, require Advanced Access or business verification, limit delivery, change APIs, remove access, enforce rate limits, or suspend connected assets. Those provider controls can prevent publishing, inbox delivery, replies, or webhook receipt even when LeaderDaddy is configured correctly.
  • Disconnecting a Meta social integration in LeaderDaddy removes the stored OAuth credentials for that connection. Removing LeaderDaddy from Meta settings or requesting deletion through Meta triggers the available deauthorization or data-deletion flow described in the Privacy Policy.
